Terms & Conditions
By engaging the services of Zinay Design Studio; whether through our website, filling out an inquiry or onboarding form, or by making any form of payment the “Client” agrees to the following Terms and Conditions:
1. Scope of Work
All services provided by Zinay Design Studio will be clearly outlined in a proposal, retainer, or written agreement shared with the Client. Any work requested outside the agreed scope will be considered an add-on service and quoted separately.
2. Payment Terms
A 70% upfront payment is required before work begins. The remaining 30% balance is expected within 3 business days of project completion. A 2-day grace period applies.
Late payments beyond 5 business days attract a 5% daily penalty until full payment is received.
Ownership of the completed website, including but not limited to design files, content, source code, hosting setup, and administrative login credentials, will remain the property of Zinay Design Studio until all outstanding payments have been made in full and duly confirmed.
3. Project Timelines
Timelines are estimated based on the assumption that the Client provides all necessary materials (text, images, feedback, branding materials – logos, fonts e.t.c) promptly. Delays from the Client (e.g., lack of communication or missing content) may result in a postponed delivery date.
Zinay Design Studio is not liable for project delays caused by client-side issues.
4. Revisions & Feedback
The project includes up to 2 rounds of revisions during the design phase before development begins. Additional revisions will be billed at an hourly rate or quoted per task.Feedback must ideally be provided within hours or 1 full working day per revision round to maintain project flow.
Any request for additional features, functionality, content sections, platform changes, or custom integrations that were not specified in the original project scope will be treated as out-of-scope and quoted separately. No such request will be implemented unless agreed in writing and an additional invoice has been settled by the Client.
5. Intellectual Property
Upon full payment, the Client obtains ownership of the completed website and all associated design assets for use in their business. However, Zinay Design Studio retains all rights as the original designer of the project. While ownership is transferred, authorship is not.
The Client may not transfer, assign, or imply designer credit to any third party, including other agencies, freelancers, or collaborators. No other individual or agency may claim the project as part of their design portfolio or present themselves as the creators of the work originally done by Zinay Design Studio.
Zinay Design Studio reserves the right to display the completed project (including screenshots, links, and descriptions) in our portfolio, website, social media, or marketing materials unless otherwise expressly agreed under a signed non-disclosure agreement (NDA).
6. Cancellations & Refunds
If the Client cancels the project after work has begun, the retainer is non-refundable.
In cases where Zinay Design Studio initiates the cancellation (e.g., due to unforeseen circumstances), a full refund will be issued for the uncompleted portion of work.
7. Client Responsibilities
The Client agrees to provide all necessary content including website copy, branding assets, feedback, and approvals in a timely manner to keep the project on schedule.
All materials submitted by the Client; including but not limited to text, images, videos, logos, brand elements, and product descriptions must be legally owned or properly licensed for use.
Zinay Design Studio operates under the assumption that the Client has the legal right to use all materials provided. By submitting these assets, the Client warrants that they are the lawful owner or have obtained appropriate permissions.
The Client agrees to indemnify Zinay Design Studio from any and all claims, damages, or legal actions arising from the unauthorized use of copyrighted, trademarked, unlicensed, plagiarized or otherwise protected materials provided by the Client.
8. Technical Support
Website support is available for 1 month after project delivery. Ongoing maintenance and technical support beyond this period will be billed separately or provided under a maintenance plan.
9. Website Launch & Hosting
Hosting and domain services are not included in the invoice unless explicitly stated.
Zinay Design Studio would assist in setup, but is not responsible for third-party hosting issues. The Client is responsible for payment and renewal of hosting, domain names and licenses for plugins or themes after delivery.
10. Limitation of Liability
Zinay Design Studio shall not be held liable for any damages, loss of revenue, or business interruption resulting from the wrong use of the website.
11. Amendments
These terms may be updated from time to time. Clients will be notified of any major changes before they take effect.
12. Acceptance of Terms
By submitting the discovery form, making payment, or engaging our services in any way, you agree to these terms and conditions.
13. Zinay Design Studio’s Obligations to the Client
Zinay Design Studio commits to providing professional, timely, and quality design services in accordance with the agreed scope of work. Our obligations include:
- Clear Communication: We will maintain transparent communication throughout the project, providing updates and seeking client feedback in a timely manner.
- Delivering Work as Agreed: We shall deliver the services and deliverables outlined in the scope of work, adhering to the agreed timelines, barring circumstances outside our control.
- Quality Assurance: We will ensure that all work meets professional standards and aligns with the specifications agreed upon with the Client.
- Confidentiality: We will treat all confidential information provided by the Client with the utmost confidentiality and will not disclose such information to third parties without prior consent.
- Revisions and Feedback: We will incorporate feedback within the limits specified in Section 4, ensuring the project progresses smoothly.
- Post-Delivery Support: We will provide technical support and assistance for a period of 1 month after project completion, as detailed in Section 8.
Our commitment is to deliver a website that meets the Client’s needs and expectations, within the scope, budget and timeline agreed upon, subject to the provisions outlined herein.
